1. Purpose and Applicability

This Restricted Evaluation & Confidential Access Agreement applies to restricted evaluators, technical reviewers, integration reviewers, engineers, adjacent companies, prospects, partners, or other users granted Restricted Evaluation Access to the Service. It supplements the Master Subscription Agreement and Confidentiality & Acceptable Use Terms.

2. Evaluation Purpose Only

Restricted Evaluation Access is provided solely for limited internal evaluation, integration review, demonstration, procurement review, or other expressly authorized business purposes. It is not granted for competitive analysis, product replication, benchmarking, or competing product development.

3. Named Users; No Sharing

Access is limited to named, authorized users. Evaluator shall not share credentials, invite unauthorized users, transfer access, or permit access by any person not authorized by Alvera and Customer.

4. Confidential Information

All non-public information accessible through Restricted Evaluation Access constitutes Confidential Information, including workflows, interfaces, screenshots, outputs, exports, pricing, roadmap information, technical details, operational methods, product behavior, security controls, evaluator restrictions, upload and export governance behavior, and related know-how.

5. Strict Restrictions

Evaluator shall not: (a) use Confidential Information or non-public aspects of the Service to develop, improve, benchmark, validate, market, operate, support, or commercialize a competing or substitute product or service; (b) perform feature extraction, replication, competitive analysis, or model training using the Service; (c) reverse engineer or derive non-public implementation methods or technical design; (d) bypass evaluator restrictions, export controls, upload scanning controls, watermarking, or technical restrictions; or (e) share non-public screenshots, recordings, exports, or operational details except as expressly authorized.

6. Export Controls; Watermarking; Upload Controls

Restricted Evaluation Access may include export blocking, approval gates, rate limits, watermarking, access restrictions, audit logging, and other controls. Supported upload workflows may use asynchronous upload security scanning, and files may remain unavailable until marked clean. Non-clean uploads may be blocked or removed.

7. Monitoring and Auditability

Evaluator acknowledges that Alvera may preserve access events, export events, upload scanning records, legal acceptance records, evaluator events, watermarking events, security events, and audit records for security, legal, operational, and evidentiary purposes.

8. Access Revocation

Alvera may suspend, restrict, or revoke Restricted Evaluation Access at any time, with or without notice, where Alvera determines that continued access presents legal, security, confidentiality, operational, or business risk.

9. Return or Deletion

Upon request or termination of access, Evaluator shall cease use of the Service and return or delete Alvera Confidential Information to the extent reasonably practicable, except where retention is required by law or approved in writing.

10. Trade Secrets; Equitable Relief

Evaluator acknowledges that the Service and related Confidential Information include valuable trade secrets and proprietary information. Unauthorized use or disclosure may cause irreparable harm, and Alvera may seek injunctive or equitable relief in addition to other remedies.

11. Governing Law; Courts; Contact

This Agreement is governed by Massachusetts law. The parties consent to exclusive jurisdiction and venue in the state and federal courts located in Massachusetts. Questions may be directed to Sean.dotts@gmail.com.
