1. Purpose

These Confidentiality & Acceptable Use Terms protect Alvera Confidential Information, trade secrets, evaluator controls, restricted product access, upload and export governance, and non-public operational information. These Terms apply to each individual user who accesses the Service.

2. Confidential Information

Confidential Information includes all non-public information disclosed by, made available by, or otherwise obtained from Alvera or through access to the Service, including workflows, interfaces, exports, pricing, roadmap information, screenshots, recordings, implementation details, product behavior, technical information, audit structures, upload scanning behavior, export governance behavior, evaluator restrictions, APIs, analytics, operational methods, compilations, arrangements, designs, security information, and trade secrets.

3. Exclusions

Confidential Information does not include information that the user demonstrates: (a) is or becomes publicly available without breach of these Terms; (b) was lawfully known without restriction before disclosure; (c) is lawfully obtained from a third party without confidentiality restriction; or (d) is independently developed without use of or reference to Alvera Confidential Information.

4. Authorized Use Only

Users may access and use Confidential Information solely as necessary to use the Service as expressly authorized. Users shall protect Confidential Information using reasonable care and shall not disclose Confidential Information except as authorized by Alvera and Customer.

5. Competitive Use Restrictions

Users shall not use Confidential Information or non-public aspects of the Service, including product workflows, screenshots, exports, operational methods, implementation details, technical information, pricing, roadmap information, or product behavior observed through access to the Service, to develop, improve, benchmark, validate, market, operate, support, or commercialize a competing or substitute product or service.

6. Reverse Engineering; Benchmarking; Extraction

Users shall not reverse engineer, decompile, disassemble, decode, scrape, crawl, frame, proxy, extract, harvest, mirror, or attempt to derive non-public source code, architecture, data structures, workflows, templates, database schemas, APIs, algorithms, implementation methods, operational logic, or technical design of the Service. Users shall not access or use the Service for competitive analysis, product replication, feature extraction, benchmarking, model training, or competing functionality development without Alvera's prior written consent.

7. Screenshots; Recordings; Sharing

Users shall not copy, screenshot, record, publish, distribute, export, or disclose non-public portions of the Service, Documentation, workflows, outputs, pricing, roadmap information, or Confidential Information except as expressly authorized by Alvera in writing or through permitted Service functionality.

8. Restricted Evaluators

Users designated as restricted evaluators or accessing high-risk or restricted evaluation workspaces may be subject to additional agreement terms, watermarking, export restrictions, monitoring, legal acceptance requirements, and restricted functionality.

9. Uploads and Exports

Users shall not upload malware, malicious code, harmful files, or content designed to compromise systems or users. Supported upload workflows may use asynchronous scanning, and non-clean uploads may be blocked. Certain exports may be restricted, monitored, watermarked, approval-gated, rate-limited, or audit logged. Users shall not circumvent upload scanning, export controls, watermarking, or access restrictions.

10. Credentials and Access

Users shall maintain credential confidentiality, use only their own credentials, comply with MFA requirements where applicable, and promptly report suspected unauthorized access or credential compromise.

11. Trade Secrets

Users acknowledge that portions of the Service, Documentation, workflows, operational methods, implementation details, evaluator-visible functionality, export governance, upload governance, and Confidential Information constitute valuable trade secrets and proprietary information of Alvera.

12. Injunctive Relief

Unauthorized use or disclosure of Confidential Information may cause irreparable harm for which monetary damages alone may be insufficient. Alvera may seek injunctive or equitable relief in addition to other remedies.

13. Survival

Obligations relating to confidentiality, trade secrets, use restrictions, non-disclosure, evaluator restrictions, and injunctive relief survive termination of access.
